Bio-Techne Corporation Product Review Program Terms and Conditions

These terms and conditions (“Terms”) apply to the Bio-Techne Corporation Product Review Program (the “Program”) and the participation of an eligible participant (“Participant” or “you”) in the Program.   

1. Acknowledgment and Agreement. By participating in the Program and completing activities that may make you eligible to receive Program rewards (“Rewards”) described herein, you acknowledge and agree that you have read the Terms and that the Terms constitute a binding agreement with Bio-Techne. Bio-Techne Corporation (“Sponsor”) reserves the right to modify these Terms, refuse product reviews or terminate the Program at any time and in any manner, without prior notice, even if changes affect Participant’s eligibility to participate in the Program or to receive Rewards for completed activities. This offer is void where prohibited or restricted by federal, state, provincial or local laws or regulations (“Applicable Laws”) or if Participant is otherwise not eligible to participate as set forth in the Eligibility section. Bio-Techne brands participating in the Program include R&D Systems, Novus Biologicals, Tocris Bioscience, Advanced Cell Diagnostics, and ProteinSimple only. References to Bio-Techne herein apply to any participating brand.
2. Eligibility. Life science professionals who are (18) years of age or older on the date of submission of a review  may participate,  except as specified in section a. below. For participation and eligibility purposes, Participants must identify themselves through their email address at their employer or institution (academic, non-profit or otherwise) with which they are affiliated. Personal email addresses cannot be used for participation in the Program.

   a. Notwithstanding the foregoing, the following persons are not eligible to participate in the Program and/or receive Rewards:

   • Healthcare Professionals. “Healthcare Professional” means any Healthcare Professional as defined under the Physician Payments Sunshine Act of 2009 and accompanying definitions. By way of non-exhaustive example, “Healthcare Professionals” includes: (i) individual (clinical or non-clinical) physicians (MDs and MDs/PhDs), physician assistants, nurses, technicians, research coordinators, administrators and purchasing personnel; (ii) entities (including hospitals, rehabilitation centers, nursing facilities, home health agencies, clinics and group purchasing organizations, managed care organizations, physician group practices, medical directors for health insurance organizations) and (iii) the employees and representatives of (i) or (ii) who are involved in the actual provision of health care services..
   • Government Employees. “Government Employee” includes employees of any federal, state, provincial or local government entity, including departments or agencies. Sponsor reserves the right to require Participants to meet additional requirements or provide additional information or signed affidavits before receiving Rewards.
   • Distributors or re-sellers of Sponsor’s products.
   • Participants Who Cannot Accept Gifts. Participants who cannot accepts gifts may participate in the Program but will not be eligible for personal Rewards. This includes Participants who are prohibited by employment, contract, law, regulation, institutional policy, or applicable professional codes of conduct in specific countries, provinces, states, or jurisdictions. 

     b. An individual's participation in the Program is subject to these Terms, and participation may be refused at the sole discretion of Sponsor

3. Earning Rewards. To participate in the Program, reviewers must register  online at: https://www.bio-techne.com/account/register.  Eligible Participants may submit a review of Sponsor’s products on the program website. Reviews must relate to previously purchased Sponsor products. Such purchases may be subject to verification by Participant’s employer or institutional entity or account. Reviews may be submitted for products ordered directly from Bio-Techne or an official Bio-Techne distributor. Bio-Techne offices and distributors can be found at: https://www.bio-techne.com/distributors. Accepting a Reward does not require or obligate you in any way to purchase, order, or recommend in the future any products or services manufactured or offered by the Sponsor. An individual Participant may earn no more than $600 value (or foreign currency equivalent) in Rewards in any given calendar year. A Participant’s failure to follow any required instructions or procedures may result in no Rewards being earned, for which the Participant will have no recourse against Sponsor. Sponsor reserves the right to use reviews and images submitted to the Program for marketing purposes.
4. Participant Commitments. By participating, Participant represents and warrants that their participation, submission of comments, an image or data and/or receipt of a gift card or compensation for such submission does not and will not violate the terms of their employment, including any employment agreement, any customer contract, any confidentiality agreement or other contract,  any law or regulation, including those concerning sales promotion or sales incentive plans, any code of conduct, policy or other procedure of Participant’s institution (academic, non-profit or otherwise) or employer, any applicable professional code of conduct or any copyright of any third party. Participant agrees that it is solely the Participant’s responsibility to ensure that participation in, and receipt of Rewards from, the Program is in keeping with federal, state, provincial and local laws and regulations. Participant represents and warrants that Participant has all requisite ownership rights or consents required to submit any image submitted to the Program. Participant agrees to provide only true and accurate information to the Program at all times. Any misrepresentation, fraud or abuse in participation by Participant will result in the immediate termination of Participant’s account and possible forfeit of any pending Reward, in Sponsor’s sole discretion.
5. Further Conditions. Participants may not maintain multiple accounts or submit duplicate reviews or images and doing so may result in a Participant’s removal from the Program, at the Sponsor’s sole discretion. Participant may not submit multiple reviews of the same product (species and application) for the same product using different lot numbers. Participant is eligible to review only one Reward (even if multiple vials were purchased of the same product) unless the products were used in different species or applications with date and image evidence of proof. Participant acknowledges and agrees that participation in the Program does not guarantee issuance of a Reward and that submission of a review or reviews or an image or images does not entitle Participant to any form of Reward or other type of compensation. You will not hold Sponsor responsible if you do not receive a Reward for a submission or if Sponsor removes your account regardless of the reason. For the avoidance of doubt, any individual logging in with a correct username and password will have full access to Participant’s account, and it is Participant’s sole responsibility to ensure that Participant’s information is not made available to unauthorized individuals. Product reviews must be submitted within 1 year of the product purchase.
6. Taxes. You are responsible for assessing any tax implications that may arise through receiving any Rewards and for the payment of any required taxes.
7. No Warranty; Disclaimer of Liability. The Program is offered to individuals on an "as is" and “as available” basis and without warranty to the maximum extent permitted by the law. Sponsor specifically disclaims any representation and warranties, express or implied, with respect to the Program, including, but not limited to all implied warranties. SPONSOR WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION LOST PROFITS OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, THAT ARISES OUT OF OR IS IN ANY WAY CONNECTED TO: (A) ANY USE OF THE PROGRAM; (B) ANY FAILURE OR DELAY BY SPONSOR IN CONNECTION WITH THE PROGRAM OR ANY PART OR COMPONENT THEREOF; OR (C) THE PERFORMANCE, NON- PERFORMANCE OR DISCONTINUANCE OF THE PROGRAM BY SPONSOR, EVEN IF SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of your registration information, whether for breach of contract, tortious behavior, negligence, or under any other cause of action. If, despite the limitation above, Sponsor is found liable for any loss or damage which arises out of, or is in any way connected with, any of the occurrences described in the limitation above, Sponsor’s liability will in no event exceed, in total, US $100.00. IF AN APPLICABLE JURISDICTION DOES NOT ALLOW THE LIMITATION OF LIABILITY, THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU.
8. Interpretation; Waiver. Interpretation of these Terms is at the Sponsor’s sole discretion. Sponsor’s failure to require or enforce strict compliance with any condition of these Terms shall not constitute or be construed as a waiver of any provision or right contained in these Terms.
9. Questions and Disputes. All questions or disputes regarding the Program, including without limitation, questions regarding participation and eligibility must be submitted in writing within 90 days of any query or dispute, as applicable to rewards@bio-techne.com. Any such dispute will be resolved by Sponsor at their sole discretion.
10. Governing Law. The laws of the State of Minnesota, USA without regard to its conflict of laws principles, will govern these Terms. You agree that any legal action by or on your behalf relating to your use of the Program or these Terms will be filed only in the state or federal courts located in Minneapolis, Minnesota, USA.
11. Privacy. Participant agrees that Bio-Techne’s privacy policy applies to the Program. Please review our privacy policy at https://www.bio-techne.com/privacy-and-cookie-policy  to understand our practices in connection with the use and protection of your personal information.
12. Complete Agreement. These Terms, together with those items made a part of these Terms by reference, make up the entire agreement between you and Sponsor relating to the Program, and replaces any prior understandings or agreements (whether oral or written) regarding the Program. If a court finds any of these Terms to be unenforceable or invalid, those term(s) will be enforced to the maximum extent permitted by applicable law and the other Terms shall remain in full force and effect.
